1. The Service

Simulask.com ("Simulask", "we", "us") provides a Simulation-as-a-Service (SaaS) platform that uses Large Language Models (LLMs) to generate synthetic data and predictive simulations. By using the Service, you ("the Client", "User") agree to these terms.

2. Nature of AI Outputs & Accuracy Disclaimer

  • Predictive Simulations: You acknowledge that the Service provides probabilistic simulations. AI-generated data is not "truth" but a mathematical estimation based on patterns.
  • Accuracy Delta: While Simulask targets a 5% Delta against "Truth" Benchmarks, this is a performance goal and not a contractual guarantee.
  • No Professional Advice: The Service is a research tool. It does not constitute financial, legal, or professional advice. You agree that any mission-critical or high-stakes decisions made based on the Service are made at your own risk.

3. Intellectual Property (IP) & Ownership

We operate on a "Shared Success" IP model to protect both the Client’s data and Simulask’s engine:

  • Client Data (Inputs): You retain 100% ownership of all proprietary data, prompts, and materials you upload.
  • The Results (Outputs): Simulask hereby assigns to you all rights, title, and interest in the specific Outputs generated for your account. You may use, publish, and share these results.
  • The Platform (Engine): Simulask retains all rights to the "Service IP," including our multi-agent architecture, specialized agent personas, prompt-engineering techniques, and the underlying software code. You may not reverse-engineer, scrape, or attempt to replicate our synthetic panel methodology.

4. Third-Party AI Providers ("The Shield")

Simulask utilizes third-party LLM providers (e.g., OpenAI, Gemini).

  • Provider Fault: We are not liable for outages, "hallucinations," or logical errors caused by third-party model providers.
  • Training Opt-Out: We maintain enterprise-level API agreements to ensure your data is not used to train these third-party models.

5. Limitation of Liability (The "Shit Happens" Clause)

To the maximum extent permitted by the laws of England and Wales:

  • The Cap: Simulask’s total aggregate liability for any claim arising from the Service (whether in contract or tort) is strictly limited to the total fees paid by you to Simulask in the twelve (12) months preceding the claim.
  • Exclusion of Indirect Loss: We shall not be liable for loss of profits, loss of anticipated savings, or any "consequential" damages resulting from your use of simulation data.
  • Service Availability: We provide the Service "as is." While we aim for high uptime, we do not warrant that the Service will be uninterrupted or error-free.

6. Subscriptions, Payments & Fair Use

  • Billing: Fees are billed in advance on a monthly or annual basis.
  • Fair Use: To prevent compute-cost spikes that threaten the platform, we reserve the right to throttle or suspend accounts that exhibit "non-human" usage patterns or excessive volume that significantly exceeds the average user profile for your tier.
  • Termination: You may cancel your subscription at any time. Access continues until the end of the current billing cycle. No pro-rata refunds are provided for partial months.

7. Governing Law

These Terms are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of London.
